Terms
Terms of use
Terms for the Wellness Reporting Suite website and the laboratory portal.
Effective November 1, 2026
1. Who we are and what these terms cover
The Wellness Reporting Suite is provided by Open Lab Solutions, Inc. ("OLS," "we," "us," "our"), 7780 E. 106th Street, Tulsa, OK 74133. These terms govern your use of our website, www.wellnessreportingsuite.com, and of the laboratory portal at app.wellnessreportingsuite.com (together, the "site"). They do not govern the patient portal, which has its own terms that patients accept when they set up an account.
2. Agreeing to these terms
Laboratory portal users. Before you use the laboratory portal for the first time, and again after we make a material change to these terms, we will ask you to accept them. You may not use the laboratory portal unless you accept.
Website visitors. By using the website after these terms have been made available to you, you agree to them to the extent the law allows. If you do not agree, please do not use the website.
Your laboratory's agreement comes first. Each laboratory that uses our services has a written agreement with us, including a Business Associate Agreement. That agreement governs our relationship with the laboratory, including fees, service levels, support and the handling of patient information. If you use the site on behalf of a laboratory, these terms govern your personal use of the site, and if they conflict with the laboratory's agreement, the laboratory's agreement controls.
3. Who may use the site
The website is intended mainly for clinical laboratories, clinicians and other health care professionals in the United States, and it includes general information for patients. Anyone may browse it. The laboratory portal may be used only by people to whom a laboratory that is our customer has given an account: the laboratory's own staff, and the ordering clinicians and facility staff the laboratory authorizes. You must be at least 18 years old to hold a laboratory portal account, and you may use it only within the authority your laboratory gives you.
4. Clinical decision support
The reports produced through the Wellness Reporting Suite are clinical decision support for licensed clinicians. A report applies clinical rules to laboratory results. It is not a diagnosis and does not replace the independent judgment of the treating clinician, who is responsible for every decision about a patient's care. Each report carries a disclaimer; read it, because it applies to every use of that report. Nothing on the site is medical advice to any individual. The site is not for emergencies; in an emergency, call 911. The sample reports on the website describe fictitious patients and must never be used to make decisions about a real patient.
5. Your account and its security
- Keep your password, authenticator and recovery codes to yourself, and do not let anyone else use your account. Everything done through your account is recorded in your name.
- Use the portal's two-step sign-in, and tell your laboratory's administrator, or us, at once if you think someone else has used your account or that your password or authenticator has been compromised.
- Your laboratory's administrator can change your roles, reset your access or close your account. We may suspend an account to protect the site, patients, or other users, and we will tell the laboratory when we do.
6. Acceptable use
When you use the site, you must not:
- look at, copy or share patient information other than as your laboratory permits for your work and as the law allows;
- try to get into accounts, records or systems that you are not authorized to use, or get around patient-identifier masking, sign-in protections or other security controls;
- probe, scan or test the security of the site without our written permission (if you think you have found a security problem, please tell us at [OWNER CONFIRM: security contact e-mail]);
- copy the site's content or collect data from the site by automated means, or interfere with the site's operation, including by overloading it;
- upload or send malicious code;
- copy, adapt, reverse engineer or attempt to extract the site's software, report designs or clinical rules, except as the law expressly allows despite this restriction;
- send patient information or other health information through the website's forms (please use the portal's secure messaging for anything about a patient);
- alter a sample report, remove its sample markings, or present it as a report about a real person; or
- use the site in a way that breaks the law or infringes anyone's rights.
7. Patient information
If you use the laboratory portal, you are handling patient information on behalf of your laboratory. Follow your laboratory's policies, the instructions in the portal, and the law. We handle patient information as your laboratory's business associate, under its Business Associate Agreement with us; nothing in these terms changes that agreement.
8. Our intellectual property
The site, its software, its text and graphics, the report designs and the clinical rules behind the reports belong to OLS or its licensors and are protected by intellectual property laws. We give you a limited, personal, non-exclusive, non-transferable and revocable permission to use the site for its intended purpose under these terms. We grant no other rights.
Sample reports. The sample reports and sample pack on the website describe fictitious patients; any resemblance to a real person is coincidental. You may view, download and share unmodified copies to evaluate our services. You may not alter them, remove their sample markings, or use them for any clinical purpose.
Your suggestions. If you send us ideas or suggestions, we may use them without any obligation to you.
9. Changes to the site; suspension
We may change, add or remove features of the site. We may suspend or end access to the site, or any account, to protect the site, patients or other users, or if these terms are broken. Commitments about availability and support to a laboratory are set out in its written agreement.
10. Disclaimers
EXCEPT AS A LABORATORY'S WRITTEN AGREEMENT WITH US PROVIDES OTHERWISE, AND TO THE FULLEST EXTENT THE LAW ALLOWS, THE SITE AND ITS CONTENT ARE PROVIDED "AS IS" AND "AS AVAILABLE," AND WE DISCLAIM ALL WARRANTIES, WHETHER EXPRESS OR IMPLIED, INCLUDING THE IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE AND NON-INFRINGEMENT. WE DO NOT PROMISE THAT THE SITE WILL BE UNINTERRUPTED OR ERROR-FREE, OR THAT THE WEBSITE'S GENERAL INFORMATION IS COMPLETE OR CURRENT.
11. Limitation of liability
TO THE FULLEST EXTENT THE LAW ALLOWS, AND SUBJECT TO THE LAST PARAGRAPH OF THIS SECTION:
(a) NEITHER WE NOR OUR SUPPLIERS WILL BE LIABLE TO YOU FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL OR PUNITIVE DAMAGES, OR FOR LOST PROFITS, REVENUE OR DATA, ARISING OUT OF OR RELATING TO THE SITE OR THESE TERMS; AND
(b) OUR TOTAL LIABILITY TO YOU FOR ALL CLAIMS ARISING OUT OF OR RELATING TO THE SITE OR THESE TERMS WILL NOT EXCEED THE AMOUNT YOU PAID US, IF ANY, FOR USE OF THE SITE DURING THE TWELVE MONTHS BEFORE THE EVENT THAT GAVE RISE TO THE CLAIM.
If you use the laboratory portal on behalf of a laboratory, the limitations of liability in the laboratory's written agreement with us apply, instead of this section, to claims arising from that use, to the extent that agreement addresses them.
Nothing in these terms excludes or limits liability for fraud; for willful injury to a person or to property; for gross negligence; for a violation of law, whether willful or negligent; for personal injury caused by negligence; or for anything else that the law does not allow to be excluded or limited.
12. Indemnity
If you use the site in breach of these terms or of the law, you will compensate us for any third-party claim, and the resulting loss and reasonable legal costs, to the extent caused by that breach. This section does not apply to anything you do within the scope of your work for a laboratory, which the laboratory's agreement with us governs, or to the extent a claim is caused by our own act or omission.
13. Governing law and where disputes are decided
These terms are governed by the laws of the State of Oklahoma, without regard to its conflict-of-laws rules, and by applicable federal law. You and we agree that any lawsuit about the site or these terms will be brought in the state courts located in Tulsa County, Oklahoma, or in the United States District Court for the Northern District of Oklahoma, and both of us consent to the personal jurisdiction of those courts. This section applies only to the extent the law allows. It does not apply to a claim that the law of the place where you live permits you to bring in your local courts despite an agreement like this one, and it does not change any dispute terms in a laboratory's written agreement with us.
Rights the law protects. Nothing in these terms takes away or limits any right or remedy that the law gives you and does not allow a contract to remove, including rights under the consumer-protection and privacy laws of the state where you live.
14. Changes to these terms
We may change these terms by posting a new version on this page with its effective date. Laboratory portal users will be asked to accept a materially changed version before continuing to use the portal. For website visitors, a change applies from its effective date. A change does not apply to a dispute that arose before it took effect.
15. General
- Entire agreement and order of precedence. These terms are the whole agreement between you and us about your use of the site. Our Privacy Notice explains how we handle information; it is not part of this agreement. A laboratory's written agreement with us, including its Business Associate Agreement, controls over these terms if they conflict.
- Severability. If a court finds part of these terms unenforceable, that part will be enforced to the greatest extent the law allows, and the rest of these terms stays in effect.
- No waiver. If we do not enforce a part of these terms, we have not given up the right to enforce it later.
- Assignment. You may not transfer these terms. We may transfer them as part of a merger, acquisition or sale of assets.
- Notices. We may give you notices by e-mail, in the portal, or by posting them on the site. You agree that electronic notices, records and acceptances satisfy any requirement that they be in writing or signed.
- Survival. Sections 4, 6, 8 and 10 to 15 continue after your use of the site ends.
